common shares of Robbins & Myers plus $7.95 in cash per each

transaction to TTES shareholders is only $31.80 per share, however,
which is approximately 5% less than TTES shares’ prior 52-week
high. The investigation relates to possible breaches of fiduciary
duty and other violations of state law by the Board of Directors of
TTES for approving this transaction and whether TTES’s Board of
Directors acted in the shareholders’ best interests.
