Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

P.C. Amin has notified First Capital Bancorp, Inc. (the “Company”) that he will be resigning as a member of the Company’s Board of Directors, effective as of August 1, 2010. Mr. Amin joined the Company’s Board of Directors in 1998. Mr. Amin’s decision to resign was not the result of any disagreement with the Company. He is resigning to devote more time to his outside business interests, and for other personal reasons.
