Item 2.02 Results of Operations and Financial Condition.

On February 25, 2009, Mercer Insurance Group, Inc. (the “Company”) issued a press release containing financial information regarding its results of operations and financial condition for the quarter and year ended December 31, 2008.

The information in this Item 2.02 and the press release attached hereto as Exhibit 99.1 is being furnished pursuant to Item 2.02 of this Form 8-K and shall not be deemed “filed” with the Securities and Exchange Commission for purposes of Section 18 of the Securities Exchange Act of 1934, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933.

Item 8.01 Other Events

On February 25, 2009, the Company announced that its board of directors authorized the payment of a $0.075 per share cash dividend on its issued and outstanding common stock, payable March 30, 2009 to shareholders of record at the close of business on March 13, 2009. The Company announced the declaration of the dividend in its press release attached hereto as Exhibit 99.1.
