that Learning Tree's previously announced delay in filing its
fiscal year 2005 Annual Report on Form 10-K could make it subject
to delisting from The Nasdaq National Market. Learning Tree intends
to request a hearing before a Nasdaq Listing Qualifications Panel
to review the issue, and no delisting will occur pending the
outcome of that hearing. Learning Tree International is a leading
