Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Appointment of Senior Vice President, Secretary and General Counsel

On October 18, 2019, Erie Indemnity Company (the “Company”) announced the appointment of Brian W. Bolash as Senior Vice President, Secretary and General Counsel of the Company and the insurance companies of the Erie Insurance Group. Mr. Bolash joined the Company in 2000 and currently serves as Vice President, Corporate Secretary and Senior Counsel. His appointment becomes effective October 24, 2019.

There is no family relationship between Mr. Bolash and any executive officer or member of the board of directors of the Company, and there are no related party transactions with regard to Mr. Bolash that are reportable under Item 404(a) of Regulation S-K. Mr. Bolash is not a party to any plan, contract, or arrangement in connection with his appointment as Senior Vice President, Secretary and General Counsel.

On October 18, 2019, the Company issued a press release announcing the appointment of Mr. Bolash as Senior Vice President, Secretary and General Counsel. A copy of the press release is attached as Exhibit 99.1.
