The purchase agreement is effective as of January 1, 2006 and provides a continuous bridge from the previous multi-year agreement between the companies, which concluded on December 31, 2005. The new purchase agreement has "evergreen" status, as it does not provide for an expiration date and may only be terminated by either party upon 18 months' prior written notice or upon the occurrence of certain events listed in the purchase agreement. Endwave's transceivers combine high-frequency transmit and receive functions into a single, integrated, module that forms the heart of a typical digital microwave radio.
