Item 8.01 Other Events.
On December 17, 2015, the Board of Directors of Empire Resources,
Inc. (the “Company”) declared a regular cash dividend of $0.025 per share of its outstanding common stock, payable
on January 20, 2016 to stockholders of record at the close of business on December 31, 2015. On December 18, 2015, the Company
issued a press release announcing the regular dividend, a copy of which is attached as Exhibit 99.1 to this report and is incorporated
herein by reference.

EMPIRE RESOURCES DECLARES 51st CONSECUTIVE
REGULAR QUARTERLY DIVIDEND
FORT LEE, N.J., December 18, 2015 -- Empire Resources,
Inc. (NASDAQ: ERS) announced that its Board of Directors has declared a regular cash dividend of $0.025 per share. This
cash dividend is payable on January 20, 2016 to stockholders of record at the close of business on December 31, 2015.
The Board of Directors intends to review its dividend policy
on a quarterly basis and make its determination based on profitability, free cash flow and the other requirements of the business.
Empire Resources, Inc. is a distributor of a wide range of semi-finished
metal products to customers in the transportation, automotive, housing, appliance and packaging industries in the U.S., Canada,
Brazil, Australia, New Zealand and Europe. It maintains supply contracts with mills in various parts of the world.
