Item 5.03 Amendment to Articles of Incorporation

On October 14, 2022¹, Vinco Ventures, Inc. (the “Company”) filed an amendment to its Articles of Incorporation to reallocate its previously authorized 250 million shares of stock as 245 million shares of Common Stock and 5 million shares of Preferred Stock, which Preferred Stock may be issued upon the subsequent filing with the Nevada Secretary of State of one or more certificates of designation for series of preferred stock.

¹Note that while this was initially submitted on October 13, 2022, the Nevada Secretary of State’s filing system was not processing on both the afternoon of the 13^th and on the 14^th, so the Company deems that the earliest time of filing was actually the end of the day on October 14, 2022 as the status on the system on the 14^th still did not show the filing as having been processed.
