Item 2.02 Results of Operations and Financial Condition.

On May 12, 2009, The Dress Barn, Inc. (the “Company”) issued a press release announcing that it will release material non-public information regarding its sales and earnings results for the thirteen and thirty-nine weeks ended April 25, 2009 on Thursday, May 21, 2009. A copy of this press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 2.02.
