Item 1.01. Entry into a Material Definitive
Agreement.
As
previously disclosed, on August 2, 2019, DD3 Acquisition Corp., a British Virgin Islands company (“DD3”), entered
into a Combination and Stock Purchase Agreement (the “Agreement”) with Campalier, S.A. de C.V., a Mexican sociedad
anónima de capital variable (“Campalier”), Promotora Forteza, S.A. de C.V., a Mexican sociedad anónima
de capital variable (“Forteza”), Strevo, S.A. de C.V., a Mexican sociedad anónima de capital variable
(“Strevo”, and together with Campalier and Forteza, the “Sellers”), Betterware de México, S.A.
de C.V., a Mexican sociedad anónima de capital variable (“Betterware”), BLSM Latino América Servicios,
S.A. de C.V., a Mexican sociedad anónima de capital variable (“BLSM”), and, solely for the purposes
set forth in Article XI of the Agreement, DD3 Mex Acquisition Corp, S.A. de C.V., a Mexican sociedad anónima de capital
variable (“DD3 Mexico”), pursuant to which DD3 agreed to merge with and into Betterware (the “Merger”)
in a business combination (the “Transaction”) that will result in Betterware surviving the Merger and BLSM becoming
a wholly-owned subsidiary of Betterware, which was amended on September 23, 2019 pursuant to the Amendment Agreement to the Combination
and Stock Purchase Agreement (the “First Amendment”).
On
February 3, 2020, DD3, the Sellers, Betterware, BLSM and DD3 Mexico entered into the Second Amendment Agreement to the Combination
and Stock Purchase Agreement (the “Second Amendment”). The Second Amendment, among other things, (i) permits the purchase
price to be mutually determined by the parties based upon the amount of cash available in the trust account on the date of the
special meeting of DD3’s shareholders to seek shareholder approval of the proposed Transaction and related matters (the
“Special Meeting”) and for such purchase price to be payable at closing in cash or transferred as a liability to Betterware
as part of the Merger and (ii) extends the date on which the Agreement may be terminated by either DD3 or the Sellers if the closing
has not yet occurred from January 31, 2020 to March 15, 2020. Other than as modified pursuant to the First Amendment and the Second
Amendment, the Agreement remains in full force and effect.

copy of the Second Amendment is filed with this Current Report on Form 8-K as Exhibit 2.1 and is incorporated herein by reference,
and the foregoing description of the Second Amendment is qualified in its entirety by reference thereto.

Information
In
connection with the proposed Transaction, Betterware filed a registration statement on Form F-4 (File No. 333-233982) (the “F-4
Registration Statement”) with the U.S. Securities and Exchange Commission (the “SEC”), which includes a proxy
statement of DD3 with respect to the Special Meeting that also constitutes a prospectus of Betterware in respect of the securities
to be issued in the proposed Transaction. Also in connection with the proposed Transaction, Betterware filed a registration statement
on Form F-1 (File No. 333-234692) (the “F-1 Registration Statement”) with the SEC. On January 22, 2020, the F-4 Registration
Statement and the F-1 Registration Statement, in each case, as amended, were declared effective and DD3 filed a definitive proxy
statement with the SEC (the “Proxy Statement”), which was mailed on or about that date to DD3’s shareholders
as of the January 16, 2020 record date for the Special Meeting. DD3’s shareholders and other interested persons are advised
to read the Proxy Statement as well as other relevant documents filed with the SEC because these documents will contain important
