Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On April 23, 2008, Peter Barton Hutt informed counsel to the Company's Board of Directors (the "Board") of his intention to resign from the Board, effective on May 18, 2008.

On April 24, 2008, Barbara J. McNeil, M.D., Ph.D., informed counsel to the Board that she has decided not to stand for reelection to the Board at the Company's 2008 Annual Meeting of Stockholders and will be leaving the Board on May 18, 2008.

The Company is entering into consulting agreements with each of Mr. Hutt and Dr. McNeil to provide a basis for each of them to provide continuing services to the Company following their respective departures from the Board.
