Item 8.01. Other Events.
As previously announced, on August
30, 2021, Springwater Special Situations Corp. (the “Company”) consummated the initial public offering (“IPO”)
of 15,000,000 of its units (“Units”). Each Unit consists of one share of Common Stock, $.0001 par value (“Common
Stock”), of the Company and one-half of one redeemable warrant (“Warrant”), with each whole warrant entitling
the holder to purchase one share of Common Stock at a price of $11.50 per share. The Units were sold at an offering price of $10.00 per
Unit, generating gross proceeds of $150,000,000.
Simultaneously with the consummation
of the IPO, the Company consummated the private placement (“Private Placement”) of 645,000 units (“Private
Placement Units”) at a price of $10.00 per Private Placement Unit, generating total proceeds of $6,450,000. The Private Placement
Units were purchased by the Company’s sponsor, Springwater Promote LLC (the “Sponsor”), and EarlyBirdCapital,
Inc., the representative of the underwriters in the IPO. The Private Placement Units are identical to the Units sold in the IPO. The holders
have agreed not to transfer, assign, or sell any of the Private Placement Units or the underlying securities (except to certain transferees)
until after the completion of the Company’s initial business combination.
On September 7, 2021, the Company
consummated the sale of an additional 2,118,624 Units pursuant to the partial exercise of the underwriters’ over-allotment option
and the sale of an additional 63,559 Private Placement Units.
Of the gross proceeds of the IPO
and Private Placement, an aggregate of $172,898,102 ($10.10 per unit sold in the offering, including the over-allotment option) was deposited
into a trust account with Continental Stock Transfer & Trust Company acting as trustee.
