Represents 3,073 shares of common stock (the "Sold Common Stock") sold on the open market for $54 per share on September 12, 2014. Such Sold Common Stock and 6,927 additional shares of common stock currently held by the Reporting Person were initially granted to the Reporting Person in the form of restricted stock on August 31, 2012 and August 16, 2013, respectively, under the Issuer's 2008 equity incentive plan, and vested on September 1, 2013, August 17, 2014 and September 1, 2014, respectively.
