Explanation of Responses:
( 1)	The option vests at the rate of 25% of the shares subject to the option on the first anniversary of the date of grant (December 10, 2009), and 1/48th of the shares subject to the option each month thereafter, subject to the reporting person's continued service to the company.
( 2)	The restricted stock units vest in four (4) equal annual installments beginning on December 10, 2010. Vested shares will be delivered to the reporting person on or about each such vesting date.
( 3)	Each restricted stock unit represents a contingent right to receive one share of BBND common stock.
( 4)	The restricted stock units vest in six (6) equal semi-annual installments beginning on August 24, 2010. Vested shares will be delivered to the reporting person on or about each such vesting date.
