Item 5.07. Submission of Matters to a Vote of Security Holders.

The annual meeting of stockholders of BigBand Networks, Inc. (the “Company”) was held on May 24, 2010. The following matters were voted upon:

1. An election of three Class I directors was held and the shares present were voted as follows:
