AlphaSmart Announces Year-End 2004 Results LOS GATOS, Calif., Feb. 8 /PRNewswire-FirstCall/ -- AlphaSmart, Inc. (NASDAQ:ALSM) today announced its unaudited financial results for the fourth quarter and fiscal year ended December 31, 2004. Final results were consistent with the preliminary expectations disclosed by the company on January 25, 2005. AlphaSmart's fourth quarter 2004 net revenue was $6.8 million, compared with $8.3 million for the fourth quarter of 2003. Net loss under generally accepted accounting principles (GAAP) was $220,000, or a loss of $0.01 per share on a fully diluted basis, compared with net income of $413,000, or $0.04 per share on a fully diluted basis, for the fourth quarter of 2003. The fourth quarter 2004 net loss under GAAP included the effects of charges of $160,000 for restructuring costs, $100,000 for legal costs related to litigation, and $115,000 due to a change in forecasted volume related to product royalties under AlphaSmart's license agreement with PalmSource, Inc. for the Palm OS operating system. In the aggregate, these charges accounted for $0.02 per share on a fully diluted basis. As a result of AlphaSmart's initial public offering in February 2004, the number of weighted average shares outstanding on a fully diluted basis increased by 35% to 14.8 million shares for the fourth quarter of 2004 from 11.0 million shares for the same quarter a year earlier. For the fiscal year ended December 31, 2004, AlphaSmart's net revenue was $35.5 million, compared with $38.9 million for 2003. Net income under GAAP was $2.2 million, or $0.15 per share on a fully diluted basis, compared with $3.4 million, or $0.31 per share on a fully diluted basis, for 2003. Net income for 2004 included the effects of $375,000 in aggregate charges for the fourth quarter and $588,000 in interest and a premium paid on the redemption of mandatorily redeemable preferred stock in the first quarter, which together accounted for $0.06 per share on a fully diluted basis. On January 25, 2005, AlphaSmart announced a definitive agreement to merge with Renaissance Learning, Inc. (NASDAQ:RLRN), a leading provider of learning information systems and school improvement programs for pre-K-12 schools, in a tax-free reorganization valued at approximately $57 million.
