Item 3.01.

Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

As previously disclosed by Ace Global Business Acquisition Limited (the “Company”) in its Current Report on Form 8-K dated March 1, 2023, the Company was notified by the Nasdaq Stock Market LLC (“Nasdaq”) on February 27, 2023 that it did not comply with Nasdaq Listing Rule 5550(a)(3) due to the Company not maintaining a minimum of 300 public holders for continued listing (the “Minimum Public Holders Rule”).

On August 24, 2023, the Company received a letter from Nasdaq confirming that, based on information submitted by the Company to Nasdaq on August 23, 2023, the Company regained compliance with the Minimum Public Holders Rule.
