Levi & Korsinsky is investigating the Board of Directors of
Stream Global Services, Inc. (“Stream” or the “Company”)
(NYSE/AMEX: SGS) for possible breaches of fiduciary duty and other
violations of state law in connection with the receipt of a merger
proposal from Trillium Capital LLC (“Trillium”). Under the terms of
the transaction, Stream shareholders would receive $4.65 in cash
per share of Stream stock they own. Trillium would also assume or
replace Stream’s $200 million high yield bonds due 2014.

The investigation concerns whether the Stream Board of Directors
is adequately shopping the Company and working to obtain the best
price possible for Stream’s shareholders. Trillium Capital has
direct control of about 4.6 percent of Stream's issued and
outstanding common shares and also owns 1000 of its public
warrants. The proposed transaction also allows for certain of the
existing inside investors of Stream - Ares Management, Providence
Equity Partners and Ayala Corp or their affiliates - to convert
their current ownership of Stream, under certain conditions, to the
privately held successor company. Ares Management, Providence
Equity and Ayala Corp, and their affiliates, own approximately 87%
of the outstanding common shares of Stream.
