Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 26, 2023, James W. Shortt notified Skyline Bankshares, Inc. (the “Company”) and its wholly-owned subsidiary, Skyline National Bank (the “Bank”), that he intends to resign as a director of the Company and the Bank, effective December 31, 2023. Mr Shortt has served as Vice Chairman of the Skyline Board since its inception and we greatly appreciate his dedication and service.

Mr Shortt’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
