In accordance with the new Transparency Rules, which came into force on 20
January 2007, the Company was informed on 19 February 2007 by Hermes Investment
Management Limited, on behalf of BT Pension Scheme Trustees that, in fulfilment
of their obligations under Disclosure and Transparency Rule 5, as at close of
business on 20 January 2007, they were interested in a total of 9,854,864
ordinary shares of 5p each in the Company ("Ordinary Shares") representing 5.92
per cent. of the Company's current total issued ordinary share capital of
166,582,833 Ordinary Shares.
