REORGANISATION COMPLETED 
 
 
 
 
Further to recent announcements, Irish Life & Permanent p.l.c. (OLD ILP) 
confirms that the Registrar of Companies at 5.30 p.m. on 15 January 2010 issued 
a certificate of registration of the order and minute 
made by the High Court 
on 11 January 2010 sanctioning the scheme of arrangement and associated 
reduction of capital (the Scheme) sought by OLD ILP. The Scheme, under which, 
amongst other things, Irish Life & Permanent Group Holdings p.l.c. (NEW ILP) 
becomes the new holding company for the Irish Life & Permanent group, has 
therefore become effective with effect from 5.30 p.m. on Friday 15 January 
2010 as scheduled. Accordingly, shares held by shareholders in OLD ILP have been 
cancelled and replaced on a one for one basis by shares in NEW ILP. 
 
 
The listing of the shares of OLD ILP (the OLD ILP Shares) on the Irish Official 
List (the Official List of the Irish Stock Exchange) and the UK Official List 
(the Official List of the Financial Services Authority) was cancelled  with 
effect from 6.30 a.m. and 8.00 a.m. respectively, today, 18 January 2010, and 
276,782,351 
new Irish Life & Permanent Group Holdings p.l.c. ordinary shares 
(the NEW ILP Shares) were admitted to trading on the Irish Stock Exchange and 
the London Stock Exchange with effect from 6.30 a.m. and 8.00 a.m. respectively, 
today 18 January 2010. 
 
 
Share certificates in respect of the NEW ILP Shares due under the Scheme to the 
holders of the Old ILP Shares who held Old ILP Shares in certificated form, will 
be posted no later than 29 January 2010. It is expected that holders of OLD ILP 
Shares in a CREST account shall have their accounts credited with the NEW ILP 
Shares due to them under the Scheme today.
