In conformity with the Transparency Directive's transitional provision 6,
Eurotunnel would like to notify the market of the following:

The shares of Eurotunnel PLC and Eurotunnel SA are listed together in the form
of Units comprising one Eurotunnel PLC share and one Eurotunnel SA share.

The total number of Units with voting rights is 2,546,164,213.

Therefore the total number of voting rights in Eurotunnel PLC/SA is
2,546,164,213.

The above figure (2,546,164,213) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, EUROTUNNEL under the FSA's
Disclosure and Transparency Rules.

Ce chiffre (2.546.164.213) peut donc etre utilise par les detenteurs d'Unites
Eurotunnel aux fins du calcul par lequel ils determineront s'ils sont dans
l'obligation de notifier le pourcentage de droit de vote qu'ils detiennent ou
tout changement dans ce pourcentage comme le prevoient les regles de l'autorite
des marches britannique.
