                            VOTING RIGHTS AND CAPITAL

Dori Media Group ("DMG"), the international media company active in the field of
television, with a focus on production, distribution, broadcasting and
merchandising of Telenovela, would, in conformity with the Transparency
Directive's Transitional Provision 6, like to notify the market of the
following:

Dori Media's issued capital comprises 22,985,727 ordinary shares of par value
0.1 NIS each. All of these ordinary shares carry equal voting rights.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or change to their interest in, Dori Media Group Ltd. under the
FSA's Disclosure and Transparency Rules.
