                   REGARDING OFFER FOR CITY SITE ESTATES PLC
                                       
The Directors of Woodvale Estates Limited wish to remind shareholders of City
Site Estates plc that there is only one offer for the ordinary shares of City
Site Estates plc and that is the offer of 26p for each ordinary share which
was announced on 18 November 1998 by Ernst & Young on behalf of Woodvale
Estates Limited.

There have been two media statements by the Miller Group referring to a
potential offer by them but no such offer has been made, and at present, they
are not obliged to make one.

The Directors of Woodvale Estates Limited remind shareholders that the latest
date and time by which valid acceptances must be received is Tuesday 15
December at 3.00pm.

The Directors of Woodvale Estates, (being Louis Goodman and Richard Gilliland)
