THE MILLER GROUP LIMITED/CITY SITE ESTATES PLC    

The Board of The Miller Group Ltd (Miller) has considered the statement issued
by Woodvale Estates Limited (Woodvale) on 4th December 1998 stating that the
shareholdings in City Site Estates plc (City Site) held by Woodvale and other
Goodman related interests are not for sale.

Miller has advised the Independent Directors of City Site that, in view of this
statement, the conditions that are still to be satisfied before Miller is in a
position to make a recommended cash offer of 35p per ordinary share in City Site
(which represents a premium of circa 35% to the current offer from Woodvale of
26p per ordinary share) no longer include acceptance of its offer from Woodvale
and other Goodman related interests.  However, these conditions still include
the lapsing of the offer from Woodvale.

Accordingly, Miller has invited the Independent Directors to write to
shareholders in City Site giving further advice.
