Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing
 
Vestin Realty Mortgage II, Inc, a Maryland corporation (the "Company") previously announced that on February 18, 2016, it received a deficiency notification from NASDAQ that it failed to maintain a minimum of $5,000,000 in its Market Value of Publicly Held Shares needed to remain on the NASDAQ Global Capital Markets.  The NASDAQ rules provided the Company with a period of 180 calendar days in which to regain compliance. During the 180-day period, the Company was unable to regain compliance and has applied to transfer the Company's securities to The Nasdaq Capital Market.
