Premium Nickel Resources Ltd
(the “Registrant”) was unable to file its Annual Report on Form 20-F for the fiscal year ended December 31, 2022 (the “Annual
Report”) on May 1, 2023 due to delays experienced in the collection, compilation and analysis of certain information that may be
included in the Annual Report. The Registrant intends to file the Annual Report with the Securities and Exchange Commission within the
fifteen-day extension provided under Rule 12b-25 of the Securities Exchange Act of 1934, as amended.

The Registrant exepects a significant change in results of operations
for the fiscal year ended December 31, 2022 compared to fiscal year ended December 31, 2021. The Registrant completed a reverse takeover
(“RTO”) transaction during fiscal year 2022, resulting in an acquisition loss on the RTO transaction of C$27.7 million on
its income statement for the year ended December 31, 2022. |
