?In early 2012
when I was approached to take over as CEO of NanoTech Entertainment, my primary
concern was being able to invest the time and effort required in order to make
such a commitment.  To that end, we
negotiated a deal whereby Clear Memories would be acquired by NanoTech as part
of my joining, and we would be able to replace my responsibilities at Clear
Memories assuring that the transaction would not negatively impact either
company.   The acquisition is a straight
stock for stock exchange requiring no cash outlay while bringing positive cash
flow to the bottom line of NanoTech.

 

Clear Memories
was started in my garage, and through the use the proprietary technology that
we created, we have built the business into the premiere provider in the San
Francisco Bay Area.  Clear Memories is a
profitable, stand-alone business unit that brings value to the shareholders by
increasing both cash flow and profits while taking no additional
resources.  In addition, the business can
grow and take advantage of shared resources already in place with NanoTech, giving
the ability for further growth and increased profits.

 

NanoTech is a
diverse entertainment company made up of multiple business units all based on
technology.  Clear Memories is the market
leader in using technology to create its products.  Through its commercial sales, as well as its
consumer division, Artistic Ice Designs, we have made a significant impact in
