Item 5.02 Departure of Director or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

Effective February 1, 2019, James Black was appointed as Interim Chief Financial Officer of the Company to replace Francis Michaud who had previously agreed to remain as Chief Financial Officer until January 31, 2019. James Black is currently serving as Vice President of Finance and as a director of the Company.
