Elray Gaming Announces a Special Stock Dividend

Elray Resources Inc., t/a Elray Gaming (OTCBB: ELRA), ANNOUNCES SPIN OFF OF ITS GOLD EXPLORATION ASSETS AND DECLARES A SPECIAL STOCK DIVIDEND OF SHARES IN GOLDMINE RESOURCES PLC.

ELRAY RESOURCES INC. announced that its Board of Directors has declared a special stock dividend after its majority shareholders approved a transaction to spin off Elray's Cambodian Gold Mining subsidiary Angkor Wat Minerals Limited to Goldmine Resources PLC, an English public Company. Goldmine Resources PLC plans to list the gold exploration assets on the London Stock Exchange's Aim Market via an IPO planned for later this year.

Goldmine Resources PLC has acquired 100 % of Angor Wat Minerals and its Cambodian Gold Exploration projects in exchange for 74,230,220 of its ordinary shares, which Elray Resources will distribute to its shareholders as a special stock dividend of one share of Goldmine Resources PLC for each of 10 shares held in Elray Resources by shareholders of record as of June 27th, 2011.
