Digital Shelf Space Corp. (TSX VENTURE:DSS) (the "Company" or "DSS"), is pleased
to announce that it has engaged Toronto-based, Investor Cubed Inc. ("ICI") to
provide investor relations and shareholder communications services effective
February 1, 2011. The agreement between DSS and ICI is effective from February
1, 2011, subject to Venture Exchange approval, for an initial one-year term,
after which it will automatically renew for an additional one year unless
otherwise terminated. In consideration for the services to be provided, DSS has
agreed to pay ICI a monthly fee of $5,000, plus pre-approved expenses. In
addition, DSS has agreed to grant 300,000 stock options (the "Stock Options") to
ICI to acquire up to an aggregate of 300,000 common shares of DSS. 75,000 Stock
Options will vest after three months from the date of issue and will be
exercisable for $0.20 per common share. The remaining 225,000 Stock Options will
vest in equal tranches of 75,000 Stock Options after six, nine and twelve months
from the date of issue, respectively, and will all be exercisable for $0.20, per
common share. The Stock Options are subject to regulatory and shareholder
approval as applicable and the provisions of DSS's Stock Option Plan. ICI does
not currently hold any securities of DSS and prior to this agreement did not
have a relationship with DSS.
