(b) On March 10, 2010, Dennis A. Johnson resigned as a director of Texas Industries, Inc. (the “Company”). Mr. Johnson informed the Company’s lead director that he resigned because he has also resigned as Managing Director of Shamrock Capital Advisors, Inc.
