Item 8.01                                              Other Events.

On January 11, 2010, KKR Financial Holdings LLC (“KFN” or the “Company”) filed a preliminary prospectus supplement, dated January 11, 2010 (the “Prospectus Supplement”), to the prospectus contained in the Company’s Registration Statement on Form S-3 (Registration No. 333-143541) relating to the issuance of Convertible Senior Notes due 2017 (the “Notes”).  In connection with the issuance of the Notes, a legal opinion was rendered related to the validity of, and certain federal income tax considerations relating to, the Notes, which legal opinion is attached as Exhibit 8.1 to this report.
