Explanation of Responses:
( 1)  Mr. Hake received 1369 shares of Restricted Stock granted as an annual retainer pursuant to the ITT 2003 Equity Incentive Plan on May 8, 2007 resulting in direct ownership of 7,597 shares of Restricted Stock. Mr. Hake also holds 669.84 phantom shares of ITT stock held in an account that tracks an index of ITT common stock. Each share of the phantom stock is the economic equivalent of one share of ITT common stock. These holdings are part of the annual retainer paid to non-management directors.
( 2)  The purpose of this amendment is to change the Amount of Securities Beneficially Owned Following Reported Transactions. The Amount of Securities Beneficially Owned Following Reported Transactions was mistakenly reported as "7567" in the Original Form 4 as a result of incorrect addition.
