held on January 27, 2012,
shareholders of Eaton Vance National Municipal Opportunities Trust
(the "Trust") (NYSE: EOT), a closed-end investment company, voted
to elect Helen Frame Peters,
Lynn A. Stout and Ralph F. Verni as Class III Trustees of the
Trust, each for a three-year term, as well as Scott E. Eston as a Class I Trustee, to serve
out the Class I term, and Harriett Tee
Taggart as a Class II Trustee, to serve out the Class II
term. The Trust's remaining Class I and Class III Trustees, who
serve staggered terms, were not up for election and remain in
office.
