Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 28, 2011, William B. Summers, Jr. notified Developers Diversified Realty Corporation (the “Company”) that he will not stand for re-election to the Company’s Board of Directors at the Company’s 2011 Annual Meeting of Shareholders. Mr. Summers’ decision was not due to any disagreement with the Company’s management or Board of Directors.

Mr. Summers will serve out the remainder of his current term, which will end at the Company’s 2011 Annual Meeting of Shareholders.

The Company is grateful to Mr. Summers for his seven years of service on the Board.
