Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 21, 2008, Tercica, Inc. (the “Company”) was informed of the death of director Ross G. Clark, Ph.D. Dr. Clark, who passed away on June 21, 2008, was also the Company’s Chief Technology Officer and a founder of the Company. Dr. Clark had served as a member of the Company’s Board of Directors since 2001 and will be greatly missed.
