Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 14, 2023, Christopher M. Smith informed the board of directors (the “Board”) of QuidelOrtho Corporation (the “Company”) of his resignation from the Board, effective as of August 31, 2023, due to other professional commitments. Mr. Smith’s decision was not the result of any dispute or disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Board has approved a reduction in the size of the Board from 12 to 11 members as of the effective date of Mr. Smith’s resignation.
