Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 24, 2023, Mini Krishnamoorthy notified the interim Chief Executive Officer and Chairperson of the Restructuring Committee of the Board of Directors (the “Board”) of Near Intelligence, Inc. (the “Company”) of her decision to resign, effective immediately, from her position as a director of the Board. Ms. Krishnamoorthy’s resignation did not result from any disagreements with management or the Board.

Ms. Krishnamoorthy was a Class II director and also served as a member of the Company’s Audit Committee and Nominating and Corporate Governance Committee, and as the Chairperson of the Company’s Compensation Committee.
