Inc., and Hycroft Mining Corporation (“Seller”).

Additional Information About the Business Combination
In connection with the
proposed business combination contemplated by the Purchase Agreement, Parent filed with the Securities and Exchange
Commission (“SEC”) a definitive registration statement on Form S-4, of which a joint proxy
statement/prospectus forms a part (the “Registration Statement”), which was declared effective on May 7,
2020, and commenced the mailing of the Registration Statement and other relevant documents to its stockholders as of May 11,
2020. The Registration Statement contains important information about the proposed business combination contemplated by the
Purchase Agreement and the other matters to be voted upon at a special meeting of Parent’s stockholders to be held to
approve the proposed business combination contemplated by the Purchase Agreement and other similar matters (the
