State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed period.

On December 20, 2011, Medallion Financial Corp. (the “Company”) filed a registration statement on Form N-2 which the Commission staff reviewed and on which they provided comments in February and March of 2012, including a comment relating to the Company’s Consolidated Schedule of Investments. After discussions with the Commission staff, the Company decided to provide more detailed disclosure in its Consolidated Schedule of Investments. The Company believes that these changes are only to provide additional details about individual portfolio investments, and will have no impact on its financial condition or results of operations for any period presented. As a result of the addition of this disclosure, the Company cannot timely file the Form 10-K without unreasonable effort or expense. The Form 10-K will be filed no later than the fifteenth calendar day following the originally prescribed due date.
