Item 8.01 Other Events.

On September 12, 2008, Foster Wheeler Ltd. (the “Company”) announced the approval by its board of directors of a common share repurchase program (the “Program”) under which the Company is authorized to repurchase up to $750 million of its outstanding common shares.

Any repurchases will be made at management’s discretion in the open market or in privately negotiated transactions in compliance with applicable securities laws and other legal requirements and will depend on a variety of factors, including market conditions, share price, the limitations in the Company’s senior credit facility and other factors.

A copy of the press release announcing the Program is attached hereto as Exhibit 99.1 and incorporated into this Item 8.01 by reference.
