Explanation of Responses:
( 1)	Of the amount beneficially owned, 7,268 are shares of common stock held by the Reporting Person. The remaining 7,422 shares of common stock are issuable pursuant to awards of restricted stock units that vest in three annual installments, with 33.4% vesting on the first anniversary of the grant date and 33.3% vesting on each of the second and third anniversaries of the grant date. Of these 7,422 shares, 666 shares were granted on December 2, 2013, 477 shares were granted on March 28, 2014, 1,333 shares were granted on December 1, 2014, 1,546 shares were granted on March 30, 2015, 1,000 shares were granted on December 1, 2015 and 2,400 shares were granted on March 30, 2016.
