Explanatory Note
Credit Facility
On September 30, 2013,
ChinaEdu Corporation (the “Company”), entered into a USD36 million loan agreement with China Merchants Bank Co., Ltd.,
Hong Kong Branch (“CMB”). The loan matures on September 30, 2016. Borrowings under this facility bear interest at a
rate of three-month LIBOR plus 2.79% per annum. The loan is secured by substantially all of the assets of the Company. The new
facility replaces the Company’s prior credit agreement entered into with The Bank of East Asia, Limited.
A copy of the loan
agreement is attached hereto as Exhibit 99.1. This summary description of the loan agreement does not purport to be complete and
is qualified in its entirety by reference to the loan agreement, which is hereby incorporated herein by reference.
