Item 7.01 Regulation FD Disclosure.

On May 21, 2009, Ceradyne, Inc. issued a press release announcing that it has received a $7.3 million order for ESAPI (Enhanced Small Arms Protective Inserts) issued by the Defense Supply Center Philadelphia.
