MILPITAS, Calif., April 20 /PRNewswire-FirstCall/ -- California Micro Devices (NASDAQ:CAMD) today confirmed that Gerome Tseng has been elected vice president, business development, a new position reporting to Robert V. Dickinson, president and chief executive officer. Tseng formerly served as CEO of Arques Technology, a privately held fabless manufacturer of analog semiconductor devices, which was recently acquired by California Micro Devices. As an inducement to join the company, Tseng and 13 other employees of Arques were each granted non-statutory stock options outside of the company's stock option plan to purchase an aggregate of 371,000 common shares. The ten-year options have an exercise price of $7.81 per share, the closing price of CAMD common stock on April 13, 2006. Unanimously approved by the independent directors of California Micro Devices, the following options were granted to each former Arques employee: Gerome Tseng 200,000 An-Chi Huang 7,000 Sorin Negru 60,000 Wan-Hua Wang 7,000 Chih-Yu Lo 26,000 Ping-Han Yang 7,000 Brian Kuo 15,000 Tsu-Hua Su 5,000 Constantin Gheorghiu 14,000 Nung-Mao Hsieh 5,000 Jean-Shin Wu 10,000 HQ Wang 5,000 Yi-Wen Fu 8,000 Mei-Man Kao 2,000 So long as each optionee remains an employee of California Micro Devices or its subsidiaries, the options vest 25 percent after one year and 6.25 percent for each of the following twelve quarters, until the options are fully vested on April 13, 2010, which is the fourth anniversary of the closing date of the company's acquisition of Arques.
