(e) On June 5, 2008, at the Blackboard Inc. (the "Registrant") Annual Meeting of Stockholders, the Registrant's stockholders approved an amendment to the Registrant's Amended and Restated 2004 Stock Incentive Plan (as amended, the "2004 Plan") to increase the number of shares authorized for issuance under the 2004 Plan from 5,800,000 to 8,700,000 and to make other specified changes.
