On January 27, 2020,
Cellect Biotechnology Ltd. (the “Company”) announced that on March 3, 2020 it will hold, at the offices of Doron, Tikotzky,
Kantor, Gutman, Nass & Amit Gross, at B.S.R 4 Tower, 33rd Floor, 7 Metsada Street, Bnei Brak, Israel, a special general meeting
of its shareholders, to be held at 11:00 a.m. Israel time or at any adjournment thereof. In connection with the meeting, the Company
furnishes the following documents:

copy of the Notice and Proxy Statement with respect to the Company’s Special General Meeting of shareholders describing
the proposal to be voted upon at the meetings, the procedure for voting in person or by proxy at the meetings and various other
