                             Directors Shareholding


The Company was notified on 22 April 2002 that Mr. A W Hewitt, a director of the
Company had purchased 78,361 Ordinary Shares of 1p each in the capital of the
Company ("Ordinary Shares"), at 65p per share each, representing 0.40 per cent.
of the issued share capital.

As a result of this purchase, Mr. A W Hewitt has a beneficial interest in
8,922,750 Ordinary Shares representing 45.52 per cent. of the Company's share
capital and Mr. A W Hewitt's total beneficial and non-beneficial holding is
10,322,750 Ordinary Shares, representing 52.66 per cent of the Company's total
issued share capital.
