HIGHWAY INSURANCE HOLDINGS PLC


Share Incentive Plan ("the Plan")



Highway Insurance Holdings Plc ("Highway") was notified on 16 February 2005
that, on 15 February 2005, Hill Samuel ESOP Trustees Limited ("the Plan Trustees
") purchased in the market 17,335 Highway ordinary shares of 20p each at 39
pence per share.  These shares were acquired as Partnership Shares (paid for by
participating employees) in respect of the February 2005 purchase of shares on
behalf of participants under the terms of the Plan.



In addition, on 15 February 2005, 12,359 Highway ordinary shares of 20p each
(including 1,000 shares previously forfeited under the Plan) were appointed by
the Trustees of the Highway General Employee Benefit Trust ("the EBT") to the
Plan Trustees and were allocated to participants as free Matching Shares under
the Plan.  The EBT is a discretionary trust established by Highway for the
benefit of employees of the Highway Group.



The February 2005 Plan allocation of shares and total current beneficial
shareholdings of directors for the purposes of the Companies Act 1985 are as
follows:

* The Plan Trustees purchased 320 Partnership Shares (the maximum allowable
under the terms of the Plan) at a price of 39 pence per share and awarded 128
free Matching Shares in respect of each director.  Matching Shares may vest free
of charge in due course under the terms of the Plan.



The EBT now holds 3,279,689 Highway shares in which each director holds an
interest by virtue of being a potential beneficiary under the EBT.  The Plan
Trustees hold 317 unallocated shares in which each director holds an interest by
virtue of being a participant under the Plan.
